If that fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or New York, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

YOU AND SEMRIGPA AGREE THAT ANY PROCEEDING TO RESOLVE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting the revised Terms on this page, with the “Last Updated” date updated accordingly.
